Centralized vs. Federated vs. Hybrid: Picking Your Model
The first decision that shapes everything else: where does AI governance authority live?
Centralized Governance
A single team — usually under the CRO, Chief AI Officer, or Chief Data Officer — owns all AI policy, risk assessment, model approval, and monitoring. Every AI use case, regardless of business unit, flows through the same pipeline.
Works when: Your organization is relatively uniform (one geography, similar risk profiles across BUs), you’re early in AI adoption, or you’ve had a major incident that demands tight control.
Breaks when: Business units have fundamentally different risk appetites (consumer lending vs. wealth management vs. capital markets), you’re operating across regulatory jurisdictions, or approval bottlenecks start killing legitimate innovation.
Federated Governance
Each business unit or region owns its own AI governance — policies, risk assessment, monitoring. A lightweight central function might exist for coordination, but authority sits with the BUs.
Works when: Business units operate quasi-independently with distinct regulatory regimes (EU vs. US vs. APAC operations).
Breaks when: Nobody enforces consistency. You end up with three different risk classification schemes, five different model inventories, and zero ability to report aggregate AI risk to the board.
Hybrid: Where Most Enterprises Land
The model that actually works at scale: centralize the standards, federate the execution.

Standard Chartered’s approach is a useful reference here. In July 2025, the bank launched its AI Factory — a centralized enterprise AI platform that standardizes governance, infrastructure, and security controls while giving data scientists and business teams a unified environment to develop and deploy AI solutions. The platform includes a central model registry and secure deployment pipeline, with a dedicated Responsible AI team within the Chief Data Office providing consistent oversight. Business units innovate within the platform’s guardrails, but the governance layer is centralized and non-negotiable.
The key insight: govern the platform, not every individual project. When the tools, registries, and deployment pipelines are centralized, governance happens by default rather than by enforcement.
Shadow AI: The Governance Gap Nobody Talks About Honestly
Every enterprise AI governance conversation eventually lands on shadow AI — employees using unapproved AI tools for work without IT or compliance awareness. And the scale of the problem is staggering.
A BlackFog survey of 2,000 respondents published in January 2026 found that 86% now use AI tools at least weekly for work-related tasks. A separate Knostic study found that while 60.2% of white-collar employees used AI tools at work, only 18.5% were aware of any official company policy on AI use.
Translation: most of your employees are already using AI. Most of them don’t know if you have a policy. And you probably can’t see what they’re doing.
Gartner’s November 2025 analysis, based on a survey of 302 cybersecurity leaders, predicts that by 2030, more than 40% of enterprises will experience security or compliance incidents linked to unauthorized shadow AI. ISACA’s 2025 analysis found that while 26% of organizations have developed innovative AI solutions, only 4% have realized a desirable ROI — partly because shadow AI siphons effort away from governed, strategic initiatives.
What Actually Works Against Shadow AI
Blocking tools doesn’t work. Employees route around restrictions because they’re trying to get work done, not commit espionage.
What works:

Approved tool catalogs with fast-track approval. Create a curated list of sanctioned AI tools for common use cases (document summarization, code assistance, data analysis). Make adding a new tool to the catalog take days, not months. If your approval process takes 6 months, employees will just use ChatGPT and not tell you.

Tiered access controls. Not every AI use case carries the same risk. An employee using an LLM to draft an internal email is different from feeding customer PII into a third-party model. Match your controls to the actual risk:

Network monitoring and DLP. Deploy endpoint detection to identify when employees access unauthorized AI services. Use data loss prevention tools to flag when sensitive data leaves the corporate environment toward known AI endpoints.

AI literacy training that doesn’t feel like punishment. Train employees on why governance matters — data leakage, hallucination risk, regulatory exposure — and give them a clear path to request new tools. The goal is channeling demand, not suppressing it.
The Model Inventory Problem at Scale
A single business unit managing 15 models can track them in a spreadsheet. An enterprise with 500+ models across a dozen business units cannot.
The enterprise model inventory needs to be:
- A single source of truth — one registry, not twelve BU-specific spreadsheets that get consolidated quarterly into an outdated master list
- Self-service for registration — business units should be able to register models without filing a ticket with a central team
- Linked to risk assessments — every model entry should connect to its risk classification, validation status, and last review date
- Automated where possible — model performance metrics, drift detection alerts, and usage stats should populate automatically from monitoring infrastructure
What to Track in the Enterprise Registry

The Federal Reserve’s SR 11-7 guidance on model risk management — which the OCC reinforced with Bulletin 2025-26 clarifying expectations for community banks — requires that all models undergo periodic validation. At enterprise scale, this means your inventory isn’t just a tracking tool — it’s your evidence trail for regulators.
Board Reporting: What Senior Leaders Actually Need
McKinsey’s 2025 State of AI survey found that only 28% of organizations using AI have their CEO responsible for AI governance oversight, and just 17% report board-level oversight. At larger organizations (over $500 million in revenue), the CEO share drops even further.
This is a gap regulators are noticing. In financial services, boards are expected to set risk appetite and oversee material risks — and AI is rapidly becoming material. If your board can’t answer basic questions about your organization’s AI footprint, that’s an exam finding waiting to happen.

Three Lines of Defense Applied to Enterprise AI
The traditional three lines model adapts to AI governance:
First Line — Business Units:
- Own the AI models and their outcomes
- Conduct initial risk classification
- Maintain model documentation and performance monitoring
- Register models in the enterprise inventory
- Ensure ongoing compliance with policies set by the second line
Second Line — AI Governance / Risk Management:
- Set enterprise AI policies, standards, and risk classification methodology
- Review and challenge first-line risk assessments (especially for high-risk/Tier 1 models)
- Maintain the enterprise model inventory and aggregate reporting
- Monitor regulatory developments and update requirements
- Report to the board and executive committees
- Manage the approved AI tool catalog and shadow AI program
Third Line — Internal Audit:
- Independently assess the effectiveness of the governance framework
- Test whether first and second line controls actually work
- Validate model inventory completeness (are there models not in the registry?)
- Report findings directly to the audit committee
The mistake most enterprises make: they try to have the second line do everything. Risk management sets the policy and conducts the assessments and monitors the models and maintains the inventory. That doesn’t scale. The first line has to own execution — the second line’s job is to set the rules and verify they’re being followed.
Cross-Border Complexity
If you operate in the EU and the US, you’re dealing with two fundamentally different regulatory philosophies:
- EU AI Act: Prescriptive, risk-classification-based regulation. Prohibited practices enforceable since February 2025. High-risk system requirements (including conformity assessments and technical documentation) take full effect August 2026. Penalties up to €35 million or 7% of global annual turnover.
- US approach: Sector-specific guidance (SR 11-7 for banks, SEC expectations for investment firms) plus an emerging patchwork of state laws (Colorado’s AI Act, Illinois BIPA). No federal AI legislation yet, but regulatory expectations are building through existing frameworks.
The practical answer for multi-jurisdictional enterprises: build to the higher standard. If your governance framework satisfies the EU AI Act, it will generally satisfy US regulatory expectations too. The reverse isn’t true.
Map your model inventory against both frameworks:
- Tag each model with applicable jurisdictions
- Identify which models fall under EU AI Act “high-risk” classification
- Track state-level requirements (Colorado’s SB 205 took effect in February 2026 with disclosure requirements for consequential AI decisions)
- Build flexibility for new requirements — the regulatory landscape is still evolving rapidly

The organizations getting this right share a pattern: they centralize the things that need to be consistent (policies, risk methodology, model registry, board reporting) and decentralize the things that need to be fast (risk assessments, model development, day-to-day monitoring).
